1. About these Terms

1.1 These Terms apply to enquiries, quotations, orders and services provided by us.

1.2 Each job will include its own Specific Terms and Conditions in a quotation, proposal or contract. If there is any conflict, the Specific Terms take precedence.

1.3 If you are a consumer, your statutory rights under UK law remain unaffected.

2. Quotations and Orders

2.1 Quotations are invitations to treat. They are valid for 30 days unless stated otherwise.

2.2 An order is accepted when we confirm in writing or when work starts.

2.3 Quotations rely on information provided. Variations may be required if information changes or hidden conditions are discovered.

3. Scope and Variations

3.1 The scope of work is as described in the Specific Terms, drawings and schedules.

3.2 Client requested changes, unforeseeable conditions or regulatory requirements will be treated as variations.

3.3 Variations will be priced and agreed before we proceed where practicable.

4. Price and Payment

4.1 Prices exclude VAT unless stated.

4.2 Payment terms are set out in the Specific Terms. If not stated, payment is due within 14 days of invoice.

4.3 We may invoice deposits, stage payments or materials on account.

4.4 Late payment may attract interest under the Late Payment of Commercial Debts legislation or at 4% above the Bank of England base rate, whichever is higher.

4.5 We may suspend work for non payment and recover costs incurred.

5. Access, Welfare and Client Obligations

5.1 The client will provide safe access, welfare facilities, electricity supply and clear work areas.

5.2 The client will obtain consents, permits and approvals that are outside our scope unless agreed otherwise.

5.3 The client will inform us of site hazards and provide relevant records.

6. Underground and Hidden Services

6.1 Unless specifically included, we are not responsible for locating concealed services or structures.

6.2 Damage arising from unmarked or unknown services is at the client’s risk unless caused by our negligence.

7. Health, Safety and Compliance

7.1 We work to applicable UK regulations and recognised standards, for example BS 7671.

7.2 We provide risk assessments and method statements where required.

7.3 If conditions are unsafe, we may stop work until made safe.

8. Materials and Title

8.1 Materials remain our property until paid for in full.

8.2 Risk in materials passes to the client on delivery to site or installation.

9. Programme and Delays

9.1 Dates are estimates unless stated as fixed in the Specific Terms.

9.2 We are not liable for delays outside our control. This includes supply chain issues, extreme weather, strikes, utility failures and third party actions.

9.3 Reasonable extensions of time and associated costs may apply.

10. Testing, Certification and Handover

10.1 We will test and commission works included in our scope.

10.2 We will provide applicable certificates and documentation on completion or as staged handovers.

10.3 Practical completion occurs when the works are substantially complete and usable.

11. Warranty

11.1 We warrant our workmanship for 12 months from completion unless the Specific Terms state otherwise.

11.2 Manufacturer warranties apply to products as provided by the manufacturer.

11.3 The warranty excludes misuse, fair wear and tear, unauthorised modifications and events outside our control.

12. Maintenance and User Responsibilities

12.1 The client is responsible for routine maintenance, inspections and record keeping after handover unless a maintenance contract is agreed.

12.2 Failure to maintain systems may void warranties and certification.

13. Emergency Callouts

13.1 Emergency attendance aims to make safe and restore supply where practicable.

13.2 Temporary repairs may be used pending permanent remedials, which will be quoted separately.

14. Intellectual Property and Drawings

14.1 Designs, drawings and specifications we produce remain our intellectual property until paid for in full.

14.2 As fitted drawings and O and M packs are supplied as stated in the Specific Terms.

15. Data Protection

15.1 We process personal data in accordance with our Privacy Policy available on our website.

15.2 Each party will comply with applicable data protection law.

16. Liability

16.1 Nothing limits liability for death or personal injury caused by negligence, fraud or any liability that cannot be limited by law.

16.2 For all other loss or damage, our total liability arising from the contract is limited to the price paid or £250,000, whichever is lower, unless the Specific Terms state another cap.

16.3 We are not liable for indirect or consequential losses, business interruption or loss of profit.

17. Force Majeure

17.1 Neither party is liable for failure to perform due to events beyond reasonable control.

17.2 Obligations are suspended for the duration of the event. Each party will mitigate and resume performance as soon as reasonably possible.

18. Suspension and Termination

18.1 Either party may suspend or terminate if the other commits a material breach and does not remedy it within 14 days of written notice.

18.2 We may terminate immediately for insolvency events.

18.3 On termination, the client will pay for work done, materials ordered and reasonable demobilisation costs.

19. Complaints

19.1 Please notify us promptly of any concern. We will investigate and propose a resolution.

19.2 If not resolved, either party may use mediation or an agreed ADR scheme before court proceedings where appropriate.

20. Governing Law and Jurisdiction

20.1 These Terms and any dispute are governed by the laws of England and Wales.

20.2 The courts of England and Wales have exclusive jurisdiction.

21. Priority of Documents

21.1 The order of precedence is. a) Specific Terms and Conditions for the job. b) these Terms and Conditions. c) other documents referenced in the contract.

21.2 If any clause is found unenforceable, the remainder stays in force.

22. Notices

22.1 Notices must be in writing and sent to the addresses stated in the Specific Terms or to a notified replacement address.

22.2 Email notices are effective on confirmed receipt.

23. Entire Agreement

23.1 The contract comprises the Specific Terms, these Terms and any documents expressly incorporated.

23.2 No other statement or representation is binding unless confirmed in writing.

24. Updates to these Terms

24.1 We may update these Terms on our website. Changes apply to future orders only unless agreed otherwise.
